PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE MURAENA PLATFORM.

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Muraena platform, website, and related services (collectively, the "Platform") operated by Muraena Group ("Company", "we", "us", or "our"). By registering or using the Platform, you ("User", "Buyer", "Supplier", "you") acknowledge that you have read, understood, and agree to be bound by these Terms, including any future amendments.

2. Eligibility and Registration

2.1. You must be a legal entity or an individual with legal capacity to enter into binding contracts under applicable law. By registering, you confirm that all information provided is accurate, complete, and up-to-date.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

3. Platform Services

3.1. Muraena is a B2B sourcing intelligence platform that facilitates connections between buyers and suppliers, specification analysis, RFQ management, and related services.

3.2. The Company does not act as a broker, agent, or intermediary in any transaction. We do not guarantee the quality, safety, legality, or suitability of any products or services offered by Suppliers.

3.3. Any agreement between Buyer and Supplier is a direct contract between those parties. Muraena is not a party to any such transaction and disclaims all liability arising from any transaction.

4. User Conduct and Responsibilities

4.1. You agree to use the Platform only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.

4.2. You shall not: (a) upload false, misleading, or fraudulent information; (b) infringe any third-party intellectual property rights; (c) distribute malware or engage in any activity that disrupts the Platform; (d) scrape, crawl, or copy any content without permission; (e) attempt to gain unauthorized access to any part of the Platform.

4.3. Suppliers warrant that all product specifications, certifications, and capabilities provided are accurate and verifiable.

4.4. Buyers warrant that all RFQs and sourcing requests are genuine and made in good faith.

5. Intellectual Property

5.1. All content, features, and functionality on the Platform, including but not limited to text, graphics, logos, software, and algorithms, are owned by Muraena Group or its licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2. User-generated content remains the property of the User. By submitting content, you grant Muraena a non-exclusive, worldwide, royalty-free license to host, store, display, and use such content solely for the purpose of operating the Platform.

6. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with GDPR and other applicable data protection regulations.

7. Fees and Payments

7.1. Certain features of the Platform may be subject to fees. All fees are clearly disclosed before you incur them.

7.2. Payments are processed through third-party payment providers. Muraena does not store your payment credentials.

7.3. All fees are non-refundable unless otherwise stated in writing.

8. Disclaimers and Limitation of Liability

8.1. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2. MURAENA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.3. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MURAENA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.4. IN ANY EVENT, MURAENA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Muraena Group, its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses arising out of or related to your violation of these Terms or your use of the Platform.

10. Termination and Suspension

10.1. We may suspend or terminate your access to the Platform at any time, without notice, for any violation of these Terms or for any other reason at our sole discretion.

10.2. Upon termination, you remain liable for any obligations incurred before termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice on the Platform. Your continued use of the Platform after the effective date constitutes your acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with the laws of the European Union and Ukraine, without regard to conflict of law principles.

12.2. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Dnipro, Ukraine, in accordance with the rules of the International Commercial Arbitration Court.

12.3. Nothing in this section shall prevent either party from seeking injunctive relief in any court of competent jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Muraena, constitute the entire agreement between you and Muraena regarding your use of the Platform.
