Licensing & Acceptable Use Policy

PLEASE READ THIS LICENSE AGREEMENT CAREFULLY BEFORE USING THE MURAENA PLATFORM.

1. Grant of License

Muraena grants you a non‑exclusive, non‑transferable, revocable, limited license to access and use the Muraena platform (the "Platform") solely for your internal business purposes and in accordance with these terms. This license does not grant you any ownership rights to the Platform, its algorithms, data structures, or any accompanying documentation.

2. User‑Generated Content License

By submitting, posting, or displaying any content on or through the Platform (including RFQs, offers, product specifications, company information, and any other materials), you grant Muraena a worldwide, royalty‑free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purpose of operating, providing, improving, and promoting the Platform. You retain all ownership rights to your content.

You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe any third‑party rights.

3. Prohibited Uses

The following activities are strictly prohibited on the Muraena Platform:

Violation of these prohibitions may result in immediate termination of your account and legal action.

4. Export Control, Military, and Sanctions Compliance

Muraena strictly prohibits transactions involving weapons, ammunition, explosives, military equipment, surveillance technology, or any items designed for law enforcement or military applications.

You are solely responsible for complying with all applicable export control laws, trade sanctions, and import regulations of your country, the supplier's country, and any relevant international bodies (including but not limited to EU sanctions, OFAC, and UNSC resolutions). You warrant that you are not located in, under the control of, or a national or resident of any sanctioned country.

Muraena reserves the right to suspend or terminate any account that violates export control laws or attempts to transact in prohibited categories.

5. Intellectual Property

The Platform, including its software, algorithms, databases, AI models, trademarks, logos, and all content (excluding user‑generated content), is the exclusive property of Muraena Group and is protected by copyright, trade secret, and other intellectual property laws. Any unauthorized use may result in termination and legal liability.

6. Data Processing and Privacy

Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to the processing of your data as described therein. You acknowledge that Muraena may process technical data and usage information to improve the Platform.

7. No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT. MURAENA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MURAENA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, MURAENA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Muraena Group, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with (i) your violation of these terms, (ii) your use of the Platform, or (iii) your violation of any third‑party rights.

10. Termination and Suspension

Muraena may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your license rights immediately cease. Sections 2, 5, 7, 8, 9, and 12 shall survive any termination.

11. Modification of Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or by posting a notice on the Platform. Your continued use of the Platform after the effective date constitutes your acceptance of the modified terms.

12. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the European Union and Ukraine. Any dispute arising out of or relating to these terms shall be resolved through binding arbitration in Dnipro, Ukraine, in accordance with the rules of the International Commercial Arbitration Court. Nothing in this section shall prevent either party from seeking injunctive relief in any court of competent jurisdiction.
